On February 23, 2023, the competent Chamber of the Hellenic Competition Commission (HCC), unanimously approved (by its Decision no 811/2023) the proposed acquisition of sole control by Blantyre Capital Limited over the company “ATTICA HOLDINGS SA” (in which “Marfin Investment Group Holdings Société Anonyme” was the majority shareholder).
Blantyre is an investment company active in the private general clinics market, in the generic medicinal product market as well as in real estate management, andspecialises in investment management (debt and equity), in particular in specificand/or complex cases of restructuring, reorganisation and/or transition of investment portfolios. It is noted that BLANTYRE does not operate directly or indirectly in the Greek passenger shipping market, passenger and vehicle transportation, or hotel service market, where the target company operates. Therefore, in the concentrationassessed, there are no horizontal or vertical overlapping activities between the acquirer, Blantyre, and the target company ATTICA HOLDINGS S.A.
The proposed transaction will not bring about any change in the competitiveconditions, either horizontally or vertically, and it is not expected to bring any changes nor in the structure of the relevant markets and, therefore, will not affect the level of competition or lead to its restriction.
Hence, the Hellenic Competition Commission unanimously approved the notifiedmerger, in accordance with Article 8 (3) of Law 3959/2011, considering that, although it falls within the scope of paragraph 1 of Article 6 of Law 3959/2011, it does not raise serious concerns as to its compatibility with competition rules in the individual markets concerned thereby.
