By Decision no 882/2025, adopted on the 13th of June 2023, the Hellenic Competition Commission (HCC), in Chamber sitting, unanimously approved, pursuant to Article 8 (3) of Law 3959/2011 (Greek Competition Act), theconcentrat ion concerning the acquisition of joint control by the companies "AKTOR RENEWABLES Single Member S.A.", operating under the trade name AKTOR RENEWABLES S.A., and "BOZATZIDIS - MITSIOLIDIS S.A.", operating under the trade name GREEN LINE ENERGY S.A. ("GREEN LINE"), over the company under the name "SUN FORCE ONE S.A.", operating under the trade name "SUN FORCE ONE" (the target company).
AKTOR RENEWABLES is a subsidiary of AKTOR Group of Companies, active in the development and management of electricity-generating renewable energy projects. GREEN LINE is active in the renewable energy sector, with its primary focus being the construction and maintenance of photovoltaic power plants. SUN FORCE ONE was established in November 2024 and is active in the electricity generation from renewable energy sources (RES).
The transaction will lead to a change in the control over the Target Company, namely from sole control, currently held by GREEN LINE, to joint control by AKTOR RENEWABLES and GREEN LINE.
The concentration concerns the relevant markets for the construction of power plants and the generation and wholesale supply of electricity. The geographic market for the construction of power plants is defined as the entire Greek territory, while the geographic market for the generation and wholesale supply of electricity is defined as the entire Greek territory, distinguishing between the Interconnected and the Non-Interconnected System.
The HCC considered that no affected markets will result from the concentration at a horizontal and/or vertical level. Therefore, although falling within the scope of Article 6 (1) of the Greek Competition Act, the proposed transaction does not raise any serious concerns as to its compatibility with competition rules in the individual markets concerned thereby.
