By its Decision No. 881/2025, adopted on the 13th of June 2025, the Hellenic Competition Commission (HCC), in Chamber sitting, unanimously approved, pursuant to Article 8 (3) of Law 3959/2011, the concentration concerning the acquisition by the company under the name “MINERVA S.A.” (MINERVA) of sole control over the brands ‘Altis’, ‘Elanthi’, ‘SOL’ and ‘Flora’, as well as over any related intellectual property rights, within the meaning of Article 5 (2-b) of Law 3959/2011.
The concentration concerns the wider market for edible oils and the individual markets for olive oil and seed oils.
Through this transaction, MINERVA, which is active, inter alia, in the production and distribution of edible vegetable oils (olive oils - seed oils), acquires the exclusive use of the aforementioned brands as well as any related intellectual property rights, such as, for example, licenses, patents, domain names, know-how, business reputation, etc.
The HCC, taking into account the market shares of the parties to the transaction, the market shares of the competing branded products, the strong presence of private label products as well as the industry dynamics, approved the above concentration considering that, although it falls within the scope of Articles 6 (1) of Law 3959/29011 and Article 3 of Law 3592/2007, the competitive conditions in the relevant markets concerned are not affected and, therefore, the concentration does not raise serious concerns as to its compatibility with competition rules in these markets.
